1. Acceptance of Terms

By accessing or using Market ("the Service"), a digital product selling application built for the Whop platform, you agree to be bound by these Terms of Service. If you do not agree to these terms, do not use the Service.

2. Description of Service

Market is a Whop application that enables community owners and course creators to sell digital products (including but not limited to PDFs, documents, files, and other downloadable content) to members of their Whop communities. The Service provides product listing, secure file storage, payment processing integration, and digital delivery functionality.

3. Payment Model and Fees

Free Product: Market lets creators publish one active product without a subscription. A paid creator subscription is required to publish additional active products beyond the free quota.

Direct Payments: All customer payments for products are processed directly through Whop to your Whop business account. Market does not hold customer payments — you receive funds directly from Whop.

Market Fees:Market does not charge a per-sale transaction fee on product revenue. Standard Whop payment processing fees may apply separately and are governed by Whop's terms of service.

Minimum Price: All products must be priced at a minimum of $1.00 USD.

4. Refunds, Disputes, and Seller Responsibility

Direct Payment Model: Since all payments are processed directly to your Whop business account, you are fully responsible for handling all customer disputes, chargebacks, and refunds through Whop.

Refund Policy: You must establish and clearly communicate your own refund policy to customers. We encourage including refund terms in product descriptions to set proper expectations.

5. Seller Responsibilities

You must have the legal right to sell any products you list
You are responsible for accurate product descriptions and pricing
You must comply with all applicable laws regarding digital product sales
You are responsible for customer support, refunds, and disputes
You must maintain a verified Whop business to use Market
You must maintain an active Market subscription to create products beyond the free quota
You must not sell illegal, fraudulent, or prohibited content
Product files must not exceed 100 MB in size

6. Whop API Permissions

Market requires specific Whop API permissions to function. Below is a detailed explanation of each permission and why it is needed:

access_pass:basic:read

Required to read product information and display your store.

access_pass:create

Required to create products. When you list a new digital product, Market creates a corresponding Whop access pass to enable checkout.

access_pass:update

Required to update products when you edit titles, descriptions, or pricing.

plan:basic:read

Required to read checkout links and pricing information.

plan:create

Required to create checkout links. Each product needs a Whop plan with pricing to enable purchases.

plan:update

Required to update pricing when you change product prices.

checkout_configuration:basic:read

Required to read checkout session status for the in-app purchase modal.

checkout_configuration:create

Required to create checkout sessions when buyers click "Buy Now".

member:basic:read

Required to verify your business status and manage customer access.

company:basic:read

Required to identify your business and ensure payments are processed correctly.

7. Buyer Rights

Buyers receive lifetime access to purchased digital products
Downloads are provided via secure, time-limited URLs
Refund policies are determined by individual sellers — contact the seller directly for refunds
Buyers should review product descriptions carefully before purchasing
For payment disputes, contact the seller or Whop support directly

8. Intellectual Property

Sellers retain all intellectual property rights to their products. By uploading content to the Service, you grant us a limited license to store, display, and deliver your products to authorized buyers. We do not claim ownership of any seller content.

9. Prohibited Content

The following content is strictly prohibited:

Copyrighted material you do not have rights to sell
Malware, viruses, or malicious software
Illegal content of any kind
Adult or explicit content (unless permitted by Whop's policies)
Content that violates third-party rights
Fraudulent or misleading products

10. Limitation of Liability

THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DO NOT GUARANTEE UNINTERRUPTED OR ERROR-FREE SERVICE.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR OTHER INTANGIBLE LOSSES.

OUR TOTAL LIABILITY SHALL NOT EXCEED THE FEES PAID BY YOU TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

11. Data and Security Disclaimer

While we implement reasonable security measures to protect your data, we are not liable for any data breaches, unauthorized access, data loss, or theft of information that may occur despite our security efforts.

You acknowledge that no method of electronic storage or transmission over the internet is 100% secure. You use the Service at your own risk and are responsible for maintaining the security of your own accounts and credentials.

We strongly recommend that sellers maintain their own backups of product files and transaction records.

12. Account Suspension

Subscription Lapse: If your Market subscription expires or is cancelled, you will lose the ability to create additional paid-plan products. Your free product can remain live, while products beyond the free quota may be hidden.

Reinstatement: To regain full access, simply renew your subscription through the Market admin panel.

13. Indemnification

You agree to indemnify and hold harmless Market, its operators, affiliates, and partners from any claims, damages, losses, or expenses (including legal fees) arising from your use of the Service, your violation of these Terms, or your violation of any third-party rights.

14. Termination

We reserve the right to suspend or terminate your access at any time for violations including:

Violation of these Terms
Fraudulent or illegal activity
Selling prohibited content
Unverified Whop business

Upon termination, your access ceases immediately. Subscription fees are non-refundable.

15. Modifications to Terms

We reserve the right to modify these Terms at any time. Changes will be effective upon posting to the Service. Your continued use of the Service after changes constitutes acceptance of the modified Terms.

16. Governing Law

These Terms shall be governed by and construed in accordance with applicable laws, without regard to conflict of law principles. Any disputes shall be resolved through binding arbitration.
